TERMS OF SERVICE

Welcome to Nu World Market.

These Terms of Service (“Terms”) govern your access to and use of the Nu World Market website, services, communications, sourcing services, supplier programs, consignment programs, marketplace services, and other offerings made available by Nu World Market (“Nu World Market,” “we,” “us,” or “our”).

By accessing or using our website or services, submitting an inquiry, requesting sourcing assistance, applying to become a supplier or consignor, placing or authorizing an order, or otherwise engaging with Nu World Market, you agree to these Terms.

Certain transactions may require you to affirmatively accept these Terms or additional transaction-specific terms before proceeding.

If you do not agree to these Terms, please do not use our website or services.

1. About Nu World Market

Nu World Market is a cross-border commerce company that connects product supply in international markets with buyers, retailers, distributors, marketplaces, and other sales channels in destination markets.

Our services may include:

  • Product sourcing and custom searches

  • Supplier identification and relationship development

  • Product and condition review

  • Wholesale purchasing and distribution

  • Consignment programs

  • Marketplace sales and distribution

  • Import and export coordination

  • Shipping, warehousing, and fulfillment

  • Product information and translation

  • Landed-cost analysis

  • Market and pricing analysis

  • Buyer-supplier matching

  • AI-assisted product, pricing, demand, and inventory analysis

  • Other cross-border commerce services

Nu World Market is not solely a proxy-buying service.

Depending on the transaction, Nu World Market may operate as a sourcing service provider, purchaser, distributor, reseller, consignee, marketplace operator, commercial intermediary, or other service provider.

The structure of a particular transaction may be governed by a separate purchase order, invoice, supplier agreement, consignment agreement, sourcing agreement, marketplace agreement, distribution agreement, or other written agreement.

If there is a conflict between these Terms and a separate written agreement governing a specific transaction, the transaction-specific agreement will control with respect to that transaction.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into binding contracts to use our transactional services.

If you use Nu World Market on behalf of a company, organization, retailer, dealer, supplier, consignor, or other legal entity, you represent and warrant that you have authority to act on behalf of and bind that entity.

You are responsible for ensuring that information you provide in connection with your account, inquiry, application, or transaction is accurate and current.

3. Buyer Services

Buyers may submit requests for particular products, categories, brands, models, specifications, quantities, condition levels, price ranges, sourcing locations, or other purchasing requirements.

Submitting a request does not obligate Nu World Market to locate, purchase, reserve, import, or supply a product and does not itself create a binding purchase contract.

Product availability, supplier availability, market pricing, exchange rates, transportation costs, duties, tariffs, and other transaction variables may change at any time.

Unless expressly stated otherwise in writing, any quote, estimate, product suggestion, sourcing result, landed-cost calculation, market analysis, or pricing analysis is preliminary and may change before a transaction is completed.

A purchase or sourcing commitment becomes binding only when the applicable transaction terms have been accepted and any required payment, deposit, purchase order, authorization, or other required documentation has been received.

Where Nu World Market acquires a product specifically in response to a buyer's request, additional cancellation and refund restrictions may apply.

4. Supplier Services

Suppliers may provide Nu World Market with information concerning products, inventory, pricing, availability, photographs, specifications, ownership, condition, provenance, authenticity, brand authorization, or other product information.

Suppliers represent and warrant that:

  • Information they provide is accurate to the best of their knowledge

  • They have the legal right to sell, consign, distribute, or otherwise make the applicable products available

  • Products do not knowingly infringe the intellectual property or other rights of third parties

  • Products are not stolen, counterfeit, unlawfully obtained, or otherwise prohibited

  • Material defects or known condition issues will be accurately disclosed

Supplier relationships may include:

  • Direct wholesale purchases

  • Recurring supply arrangements

  • Custom sourcing

  • Consignment

  • Marketplace distribution

  • Demand-backed purchasing

  • Inventory placement

  • Distribution

  • Other commercial arrangements

Participation in a supplier program does not guarantee sales, purchase volume, minimum order quantities, product acceptance, exclusivity, price levels, sale timing, or continued participation unless specifically agreed in writing.

Additional supplier-specific terms may apply.

5. Consignment Terms

Where Nu World Market accepts inventory on consignment rather than purchasing it outright, the applicable Consignment Agreement will govern the commercial relationship.

Unless a separate written Consignment Agreement states otherwise, the following general principles apply.

Title to Consigned Inventory

Title to consigned goods remains with the consignor until a completed sale or other agreed disposition transfers title to a buyer.

Custody and Risk of Loss

Nu World Market will exercise commercially reasonable care while consigned property is in its possession or control.

The allocation of risk of loss, insurance coverage, declared value, deductibles, transit risk, storage risk, and maximum recoverable amounts will be determined by the applicable Consignment Agreement.

Unless expressly stated in writing, Nu World Market does not represent that all consigned inventory is insured for its full retail, replacement, appraisal, or expected resale value.

Pricing and Sales Channels

Nu World Market may determine appropriate sales channels and may market, list, promote, bundle, or route consigned inventory through wholesale, marketplace, retail, distribution, or other authorized channels.

Pricing adjustments may be made within pricing parameters agreed with the consignor.

Nu World Market will not materially reduce a product below an agreed minimum selling price without the consignor's approval unless such authority is expressly granted in the applicable Consignment Agreement.

Payment to Consignor

Unless otherwise agreed in writing, payment for sold consigned inventory will be made after the underlying sale has been completed and applicable payment-clearance, return, dispute, or chargeback periods have been satisfied.

Payments may be reduced by agreed commissions, marketplace fees, payment-processing costs, shipping expenses, duties, storage or handling charges, returns, chargebacks, or other amounts authorized by the applicable Consignment Agreement.

Unsold Inventory

The handling of unsold inventory, including return to consignor, extension of the consignment period, repricing, transfer to another sales channel, or other disposition, will be governed by the applicable Consignment Agreement.

Qualification for Consignment

Nu World Market may evaluate inventory before accepting it into a consignment, sourcing, or distribution program.

Acceptance or qualification does not guarantee a sale, minimum sale price, minimum volume, or sale within a particular time period.

6. Product Information and Condition

Nu World Market may provide product descriptions, photographs, videos, translations, grading information, condition reports, inspection results, serial-number information, market information, or other product-related information.

For used, vintage, collectible, limited-production, refurbished, or secondhand goods, condition assessment may involve judgment.

Products may show signs of:

  • Age

  • Use

  • Wear

  • Repair

  • Modification

  • Restoration

  • Replacement parts

  • Manufacturing variation

  • Prior ownership

  • Storage

  • Environmental exposure

We make reasonable efforts to communicate material product information available to us.

However, minor errors, omissions, translation differences, photographic variations, measurement differences, or differences in subjective condition assessment may occur.

Buyers should review all available product information before purchasing.

Where available, buyers may request additional inspection, verification, photographs, measurements, or condition information before committing to a purchase.

7. Authenticity, Ownership, and Provenance

Nu World Market may perform or facilitate reasonable authenticity, provenance, serial-number, condition, ownership, or background checks depending on the product and transaction.

Unless Nu World Market expressly provides a written authenticity guarantee for a particular product, we do not represent that every product has been independently authenticated by a manufacturer, third-party authentication company, expert, grading company, or other independent authority.

Suppliers and consignors remain responsible for accurately representing the authenticity, ownership, history, provenance, condition, and origin of products they provide.

Nu World Market may refuse, suspend, investigate, remove, return, or report products reasonably suspected to be:

  • Counterfeit

  • Stolen

  • Fraudulently represented

  • Unlawfully reproduced

  • Subject to ownership disputes

  • Prohibited from import or export

  • Otherwise unlawful

8. Pricing

Prices displayed or communicated through Nu World Market may include or reflect one or more of the following:

  • Supplier price

  • Product acquisition cost

  • Nu World Market service fees

  • Commissions

  • Currency conversion

  • International transportation

  • Domestic transportation

  • Insurance

  • Customs brokerage

  • Import duties

  • Tariffs

  • Taxes

  • Warehousing

  • Inspection

  • Authentication

  • Packaging

  • Marketplace fees

  • Payment-processing costs

  • Handling costs

  • Other transaction expenses

Unless expressly stated otherwise, estimated pricing is not guaranteed until confirmed in writing.

International transactions are subject to changes in exchange rates, transportation charges, customs classifications, tariffs, taxes, regulatory fees, marketplace fees, and other costs outside Nu World Market's reasonable control.

9. Currency Exchange

International transactions may involve currency conversion.

Exchange rates may fluctuate between the time a product is identified, quoted, reserved, purchased, paid for, shipped, imported, or sold.

Unless otherwise agreed in writing, Nu World Market may use the exchange rate available through its payment provider, banking institution, currency provider, marketplace, or internal pricing methodology at the time the applicable transaction is processed.

Quotes involving foreign currencies may include reasonable currency-conversion costs or buffers intended to account for rate movement and transaction expenses.

Nu World Market is not responsible for losses caused solely by changes in foreign exchange rates.

10. Taxes, Duties, Customs, and Import Requirements

Cross-border transactions may be subject to:

  • Customs duties

  • Import tariffs

  • Sales taxes

  • Use taxes

  • Value-added taxes

  • Brokerage charges

  • Customs-processing fees

  • Regulatory fees

  • Documentation requirements

  • Licensing requirements

  • Product-specific import restrictions

Responsibility for these amounts will be determined by the applicable transaction terms.

Customs classifications, tariff rates, trade rules, de minimis thresholds, and import requirements may change.

Any customs, tariff, tax, or landed-cost calculation provided by Nu World Market is an estimate unless expressly confirmed otherwise in writing.

Final assessments made by customs authorities, tax authorities, carriers, brokers, or other government or third-party entities may differ from estimates.

Nu World Market does not provide legal, tax, accounting, customs, or regulatory advice.

11. Shipping and Delivery

Shipping dates and delivery times are estimates unless expressly guaranteed in writing.

Domestic and international transportation may be affected by circumstances outside Nu World Market's reasonable control, including:

  • Customs inspections

  • Carrier delays

  • Weather

  • Labor disputes

  • Government actions

  • Port congestion

  • Documentation issues

  • Transportation shortages

  • Natural disasters

  • Security events

  • Regulatory holds

Risk of loss and title to goods will transfer as specified in the applicable invoice, purchase order, purchase agreement, shipping terms, Incoterms where applicable, or other transaction documentation.

Shipping damage, shortages, or delivery discrepancies must be reported promptly and within any applicable carrier, insurer, marketplace, or transaction-specific claim period.

Failure to report a claim within the applicable period may limit available remedies.

12. Returns, Refunds, and Cancellations

Return, refund, cancellation, and exchange rights may differ depending on the nature of the transaction.

Relevant factors may include whether an item is:

  • New or used

  • Vintage or collectible

  • Special order

  • Custom sourced

  • Purchased specifically for a buyer

  • Wholesale inventory

  • Consigned inventory

  • Imported specifically for a transaction

  • Sold through a third-party marketplace

  • Subject to manufacturer or supplier restrictions

The return policy applicable to a specific transaction will be stated in the relevant invoice, listing, purchase agreement, sourcing agreement, marketplace listing, or other transaction documentation.

Custom-sourced, special-order, wholesale, international, or buyer-directed purchases may become non-cancelable and non-refundable once Nu World Market has committed funds, entered into a supplier obligation, incurred shipping or customs expenses, or otherwise materially performed the requested service.

Nothing in these Terms limits rights that cannot legally be waived under applicable consumer protection law.

13. Third-Party Marketplaces and Service Providers

Nu World Market may use third-party platforms and providers in connection with its services, including:

  • E-commerce marketplaces

  • Payment processors

  • Financial institutions

  • Shipping carriers

  • Customs brokers

  • Warehouses

  • Authentication providers

  • Insurance providers

  • Software providers

  • Translation providers

  • Logistics companies

Use of these services may also be subject to the third party's terms, policies, fees, procedures, restrictions, and dispute processes.

Nu World Market is not responsible for the independent acts, omissions, outages, policies, decisions, delays, or performance of third-party providers outside our reasonable control.

14. AI-Assisted and Automated Analysis

Nu World Market may use artificial intelligence, software, algorithms, data analysis, and automated tools to assist with activities such as:

  • Market analysis

  • Product matching

  • Pricing analysis

  • Demand identification

  • Inventory evaluation

  • Product categorization

  • Translation

  • Sourcing recommendations

  • Resale analysis

  • Landed-cost analysis

  • Routing inventory toward potential sales channels

These tools are intended to support human commercial decision-making.

They do not guarantee:

  • Financial results

  • Resale value

  • Product availability

  • Market demand

  • Product authenticity

  • Future market prices

  • Sale timing

  • Regulatory treatment

  • Profitability

Automated output may contain errors or be based on incomplete, historical, third-party, or changing information.

Users should not rely solely on automated analysis when making significant purchasing, pricing, sourcing, or commercial decisions.

15. No Guaranteed Resale Value or Profit

Some products sourced or distributed through Nu World Market may have active secondary markets or potential resale opportunities.

Nu World Market may provide historical pricing, comparable sales, market information, projected margins, estimated resale values, or other commercial information.

Such information is provided for informational purposes only.

Past transaction results do not guarantee future performance.

Nu World Market does not guarantee that any buyer will be able to:

  • Resell a product

  • Achieve a particular resale price

  • Earn a particular gross margin

  • Earn a particular profit

  • Sell a product within a particular timeframe

All commercial purchasing and inventory decisions involve risk.

16. International Product Compatibility and Regulatory Differences

Products originally manufactured or sold for one geographic market may differ from products offered in another market.

Differences may include:

  • Electrical voltage

  • Electrical frequency

  • Plug configuration

  • Wireless or radio-frequency compatibility

  • Software

  • Language

  • Region coding

  • Firmware

  • Accessories

  • Packaging

  • Safety certifications

  • Labeling

  • Emissions standards

  • Automotive fitment

  • Warranty coverage

  • Manufacturer support

  • Regulatory approvals

Unless Nu World Market expressly agrees otherwise in writing, buyers are responsible for determining whether a product is suitable, lawful, compatible, or approved for their intended use or destination market.

A product's lawful sale or certification in one jurisdiction does not necessarily mean that it is approved for all uses in another jurisdiction.

Manufacturer warranties may be country-specific or region-specific and may not transfer internationally.

Nu World Market does not guarantee manufacturer warranty coverage unless such coverage is expressly included in the applicable transaction terms.

17. User-Provided Information and Content

You agree that information you provide to Nu World Market will be accurate and will not knowingly violate the rights of another person or entity.

You may not submit content or information that:

  • Is intentionally false or misleading

  • Violates intellectual property rights

  • Contains malicious software

  • Facilitates fraud

  • Violates applicable law

  • Relates to stolen or unlawfully obtained goods

  • Infringes privacy or publicity rights

  • Is otherwise unlawful or abusive

You retain ownership of content that you provide to us.

You grant Nu World Market a non-exclusive right to use, reproduce, translate, format, distribute, display, and otherwise process that content as reasonably necessary to:

  • Perform requested services

  • Evaluate inventory

  • Market authorized products

  • Create listings

  • Communicate with buyers and suppliers

  • Process transactions

  • Provide customer support

  • Operate our business

You represent that you have the rights necessary to grant these permissions.

18. Confidential Business Information

In the course of using Nu World Market's services, buyers, suppliers, consignors, and Nu World Market may provide or obtain non-public commercial information relating to a business relationship, proposed transaction, sourcing opportunity, or completed transaction.

Confidential business information may include:

  • Non-public pricing and discount structures

  • Inventory levels and product availability

  • Supplier and sourcing relationships

  • Buyer purchasing requirements

  • Sales volumes and transaction history

  • Product acquisition costs

  • Commercial terms and margins

  • Business plans and forecasts

  • Customer, supplier, dealer, or distribution information

  • Non-public operational, technical, or financial information

  • Other information that reasonably should be understood as confidential given its nature or the circumstances of disclosure

Each party agrees to use commercially reasonable measures to protect confidential business information received from another party and not to disclose such information to third parties except as reasonably necessary to evaluate, facilitate, perform, administer, support, or enforce the applicable business relationship or transaction.

Without limiting the foregoing, Nu World Market will not knowingly disclose a specific supplier's non-public pricing, inventory levels, sales volumes, acquisition costs, margins, sourcing relationships, or confidential commercial terms to competing suppliers or unrelated third parties except:

  • With the applicable party's authorization

  • As reasonably necessary to complete or evaluate an authorized transaction

  • To employees, contractors, affiliates, professional advisers, logistics providers, payment providers, financial institutions, marketplaces, warehouses, customs brokers, technology providers, or other service providers that reasonably require the information to perform services

  • Where the information has been aggregated, anonymized, or de-identified so that the applicable supplier, buyer, consignor, or transaction cannot reasonably be identified

  • As necessary to investigate fraud, unlawful activity, ownership disputes, authenticity concerns, security incidents, or violations of these Terms

  • As required by applicable law, regulation, subpoena, court order, customs authority, regulator, governmental agency, or other lawful governmental request

  • As otherwise permitted by a separate written agreement

Where commercially reasonable, Nu World Market will limit disclosures of confidential business information to the information reasonably necessary for the applicable purpose.

Confidential business information does not include information that:

  • Is or becomes publicly available through no breach of these Terms or other confidentiality obligation

  • Was lawfully known to the receiving party without a confidentiality obligation before disclosure

  • Is lawfully received from a third party without a duty of confidentiality

  • Is independently developed without use of the other party's confidential information

  • Is approved for release by the party that originally disclosed it

Nothing in this Section prevents Nu World Market from using aggregated, anonymized, or de-identified transaction, inventory, pricing, sourcing, buyer, supplier, and market data for legitimate business purposes, including:

  • Market analysis

  • Pricing analysis

  • Demand forecasting

  • Supply analysis

  • Product matching

  • Inventory routing

  • Sourcing recommendations

  • Operational improvement

  • Risk analysis

  • Artificial-intelligence-assisted analysis

  • Development and improvement of Nu World Market's technology, services, analytics, and commercial systems

Such use must not reasonably identify a specific supplier, buyer, consignor, or confidential transaction unless otherwise authorized or permitted by applicable law.

The confidentiality obligations in this Section survive termination or completion of the applicable relationship for so long as the information remains confidential, subject to any different confidentiality period established in a separate written agreement.

Nothing in this Section creates an obligation to enter into or complete any proposed transaction.

19. Prohibited Products and Transactions

Nu World Market reserves the right to decline any product, supplier, consignor, buyer, transaction, destination, jurisdiction, or request.

We will not knowingly facilitate transactions involving goods that are:

  • Illegal

  • Economic sanctions

  • Anti-money-laundering laws

  • Anti-bribery laws

Nu World Market may refuse, delay, cancel, hold, or investigate a transaction where reasonably necessary to comply with applicable law, government requirements, financial-institution requirements, customs requirements, sanctions screening, marketplace policies, or internal compliance procedures.

Nu World Market will not be liable for delays reasonably resulting from required compliance review.

21. Intellectual Property

The Nu World Market name, logos, branding, website design, text, graphics, databases, processes, software, proprietary methodologies, and other original materials are owned by or licensed to Nu World Market and are protected by applicable intellectual-property laws.

You may not, without prior written permission:

  • Reproduce our proprietary materials

  • Commercially distribute them

  • Republish them

  • Scrape substantial portions of our website or databases

  • Reverse engineer proprietary software

  • Use our proprietary materials to create a competing service

  • Create derivative commercial databases from our content

Third-party trademarks, product names, photographs, and other intellectual property remain the property of their respective owners.

Reference to third-party brands does not necessarily imply sponsorship, authorization, affiliation, endorsement, or partnership.

22. Website Use

You may use our website only for lawful purposes.

You may not:

  • Attempt to gain unauthorized access to our systems

  • Interfere with website operation or security

  • Circumvent technical protections

  • Introduce malicious software or harmful code

  • Impersonate another person or organization

  • Use the website to commit fraud

  • Harvest information in violation of applicable law

  • Use automated systems in a manner that places an unreasonable burden on the website

  • Use Nu World Market content or data to build an unauthorized competing database or service

Nu World Market may restrict or terminate access where we reasonably believe these Terms have been violated.

23. Privacy and International Data Processing

Our collection, use, storage, disclosure, and processing of personal information is described in our Privacy Policy.

By using our services, you acknowledge that information may be processed as reasonably necessary to:

  • Respond to inquiries

  • Evaluate buyer or supplier requests

  • Facilitate transactions

  • Provide services

  • Process payments

  • Arrange shipping

  • Prevent fraud

  • Comply with law

  • Operate Nu World Market

Because Nu World Market facilitates cross-border commerce, information may be processed in countries other than the country in which it was originally collected.

Where applicable data-protection laws require safeguards for international transfers or other processing activities, Nu World Market will take measures reasonably required by applicable law.

EEA, United Kingdom, Switzerland, and Other Regulated Jurisdictions

Where applicable law grants individuals rights concerning their personal information, including rights of access, correction, deletion, restriction, portability, objection, or withdrawal of consent, Nu World Market will honor those rights as required by law.

Additional information concerning privacy rights, applicable legal bases, retention, disclosures, and international processing will be provided in our Privacy Policy.

24. Communications

By submitting an inquiry or engaging with Nu World Market, you consent to receive communications relating to your:

  • Inquiry

  • Transaction

  • Sourcing request

  • Supplier relationship

  • Consignment relationship

  • Buyer relationship

  • Account

  • Customer service request

  • Use of our services

Where permitted by law, Nu World Market may also send marketing or business-development communications.

You may opt out of marketing communications using the unsubscribe mechanism provided or by contacting us.

Opting out of marketing communications does not prevent us from sending necessary transactional, legal, security, or service-related communications.

25. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Nu World Market website and general informational services are provided on an “as is” and “as available” basis.

Except for warranties expressly provided in writing for a specific transaction, Nu World Market disclaims implied warranties to the extent permitted by law, including warranties of:

  • Merchantability

  • Fitness for a particular purpose

  • Title

  • Non-infringement

We do not warrant that:

  • The website will always operate without interruption or error

  • Every requested product will be available

  • Every supplier will accept a proposed transaction

  • Market prices will remain stable

  • A product will achieve a particular resale value

  • Estimated shipping dates will always be achieved

  • Customs authorities will accept a particular classification, valuation, or tariff treatment

  • AI-assisted analysis will always be complete or accurate

  • Every product will be compatible with every destination market

  • Every manufacturer warranty will apply internationally

Some jurisdictions do not allow certain warranty limitations, so portions of this section may not apply to certain users.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Nu World Market and its owners, directors, officers, employees, contractors, representatives, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to the website or services.

This includes, to the extent permitted by law:

  • Loss of profits

  • Loss of business opportunity

  • Loss of anticipated resale value

  • Loss of anticipated margin

  • Loss of data

  • Loss of goodwill

  • Business interruption

Except where prohibited by law or expressly provided otherwise in a separate written agreement, Nu World Market's aggregate liability arising from a particular transaction will not exceed the greater of:

  1. the fees actually paid to Nu World Market in connection with that transaction; or

  2. any greater amount that applicable law requires Nu World Market to make available.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Transaction-specific agreements may provide different liability allocations for particular commercial relationships.

27. Time Limit to Bring Claims

To the extent permitted by applicable law, any claim arising out of or relating to the website, services, or a particular transaction must be commenced within one (1) year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

This contractual limitation does not apply where:

  • A longer period is required by applicable law

  • The limitation cannot legally be shortened by agreement

  • A transaction-specific agreement provides a different period

28. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Nu World Market and its owners, directors, officers, employees, contractors, representatives, and affiliates from and against third-party claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your violation of these Terms

  • Your violation of applicable law

  • False, inaccurate, incomplete, or misleading information supplied by you

  • Products supplied or consigned by you that infringe or allegedly infringe third-party rights

  • Products supplied or consigned by you that you did not have authority to sell, consign, distribute, or transfer

  • Undisclosed defects, authenticity issues, provenance issues, ownership disputes, or other material misrepresentations relating to products supplied or consigned by you

  • Your misuse of Nu World Market's website or services

  • Your negligence

  • Your gross negligence

  • Your fraud

  • Your willful misconduct

Nu World Market reserves the right, at its expense, to participate in or assume the defense of any matter otherwise subject to indemnification.

You may not settle a claim in a manner that admits wrongdoing by, imposes liability on, or creates obligations for Nu World Market without Nu World Market's prior written consent.

This Section does not require indemnification to the extent a claim results from Nu World Market's own conduct where applicable law prohibits such indemnification.

29. Force Majeure

Nu World Market will not be responsible for delays, interruptions, increased costs, or failures caused by events reasonably outside our control, including:

  • Natural disasters

  • Severe weather

  • Earthquakes

  • War

  • Terrorism

  • Civil unrest

  • Government action

  • Customs delays

  • Labor disputes

  • Carrier disruptions

  • Port closures

  • Pandemics

  • Cyberattacks

  • Power failures

  • Telecommunications failures

  • Changes in law

  • Changes in tariffs

  • Trade restrictions

  • Sanctions

  • Supply-chain disruptions

Where reasonably possible, Nu World Market will make commercially reasonable efforts to mitigate the effect of such events.

30. Suspension and Termination

Nu World Market may suspend or terminate access to its website, programs, or services if we reasonably believe that a user has:

  • Violated these Terms

  • Violated a transaction-specific agreement

  • Engaged in fraudulent or unlawful conduct

  • Created unacceptable legal, financial, reputational, or compliance risk

  • Failed to meet payment obligations

  • Provided materially false information

Termination does not affect rights, obligations, payment requirements, liability provisions, indemnification obligations, confidentiality obligations, or transactions arising before termination.

31. Dispute Resolution and Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING CERTAIN CLAIMS IN COURT.

Informal Resolution First

Before initiating arbitration or litigation, you and Nu World Market agree to attempt in good faith to resolve the dispute informally.

The party raising the dispute must send written notice describing the dispute and requested resolution using the contact information in Section 39.

The parties will have at least thirty (30) days from receipt of the notice to attempt an informal resolution before commencing arbitration, except where immediate legal relief is reasonably necessary.

Binding Arbitration

To the fullest extent permitted by applicable law, disputes, claims, or controversies arising out of or relating to these Terms or Nu World Market's services will be resolved through binding individual arbitration rather than in court.

Arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA rules in effect at the time the arbitration is initiated.

Where applicable, consumer disputes will be handled under the AAA rules applicable to consumer arbitration, and commercial disputes may be handled under the AAA Commercial Arbitration Rules.

The arbitration may take place remotely where permitted by the applicable rules or otherwise in the location specified in Section 32 unless the parties agree to another location.

Arbitration Fees and Costs

Filing, administrative, arbitrator, and other arbitration fees will be allocated in accordance with the applicable AAA rules and applicable law.

For a claim brought by an individual consumer, Nu World Market will pay or reimburse arbitration filing or administrative fees to the extent required by the applicable AAA rules or applicable law.

If an individual consumer demonstrates that the costs of arbitration would be materially greater than the costs the consumer would incur to pursue the same claim in court, Nu World Market will pay such additional arbitration fees to the extent reasonably necessary to prevent the arbitration process from being prohibitively expensive, unless the arbitrator determines that the claim was frivolous or brought for an improper purpose.

Each party will generally be responsible for its own attorneys' fees and expenses unless applicable law, the applicable AAA rules, another written agreement, or the arbitrator's award provides otherwise.

Nothing in this Section is intended to require a consumer to pay arbitration costs that applicable law prohibits Nu World Market from imposing.

Exceptions

Either party may bring an individual claim in a court having jurisdiction over qualifying small-claims matters.

Nu World Market may also seek temporary, preliminary, injunctive, or equitable relief in a court of competent jurisdiction where reasonably necessary to protect:

  • Intellectual property

  • Confidential information

  • Trade secrets

  • Computer systems

  • Fraud-prevention interests

  • Property subject to an ownership dispute

Class Action Waiver

To the fullest extent permitted by applicable law, you and Nu World Market agree that disputes will be resolved only on an individual basis.

Neither party will bring or participate in a class, collective, consolidated, or representative proceeding against the other to the extent such waiver is permitted by law.

Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to Nu World Market using the contact information in Section 39 within thirty (30) days after you first become bound by these Terms.

Your notice must clearly state that you are opting out of the arbitration provision and provide information reasonably sufficient to identify you.

If you validly opt out, disputes that otherwise would have been arbitrated will instead be resolved in the courts specified in Section 32, subject to applicable law.

Jurisdiction-Specific Rights

If applicable law does not permit mandatory arbitration, a class-action waiver, or another provision of this Section for a particular claim or user, that provision will not apply to the extent prohibited.

The remaining portions of this Section will remain effective to the maximum extent permitted by law.

32. Governing Law and Venue

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute that is not subject to arbitration under Section 31 will be resolved exclusively in the state or federal courts located in [COUNTY, STATE], and the parties consent to personal jurisdiction and venue in those courts, except where applicable law provides a user with a non-waivable right to bring a claim elsewhere.

33. Assignment

You may not assign or transfer these Terms or your rights or obligations under them without Nu World Market's prior written consent.

Nu World Market may assign or transfer these Terms, in whole or in part, in connection with:

  • A merger

  • Acquisition

  • Financing

  • Corporate reorganization

  • Sale of substantially all of its assets

  • Transfer to an affiliate

  • Successor business transaction
